1. Scope

These Terms of Sale govern any order for a paid service placed on the ASUOO platform by a customer (individual or business). They complement the Terms of Use.

Any order implies full and unconditional acceptance of these Terms of Sale.

2. Pricing and VAT

ASUOO, a sole proprietorship, benefits from the VAT exemption scheme: VAT not applicable, Article 293 B of the French General Tax Code. Displayed prices are therefore final net prices, with no VAT to add.

ASUOO reserves the right to change its prices at any time. Any price change will be notified to the customer at least 30 days in advance. Ongoing orders are not affected by a price increase until their renewal.

3. Order and billing

The order is confirmed upon payment on the platform. A confirmation email is sent to the address associated with the account. Billing is monthly, in advance, with no minimum commitment period.

Automatic monthly renewal is enabled by default. The customer may cancel their subscription at any time from their client area to prevent renewal for the following month.

4. Payment methods

Orders can be paid for exclusively via:

  • Credit/debit card via Stripe (Visa, Mastercard, American Express);
  • PayPal (PayPal account or card via PayPal).

Transactions are secured by the encryption protocols of these payment providers. ASUOO does not store any card data.

5. Discount codes

ASUOO may occasionally offer discount codes (for example on its service catalog). Unless otherwise stated when it is communicated, a discount code is valid for a period of 2 months from the date it is made available, and can no longer be used after this period expires.

A discount code can only be applied at the time of ordering and cannot be added retroactively to an order already confirmed. ASUOO reserves the right to limit the use of a code (number of uses, eligible plans, new customers only) according to the conditions communicated with that code.

6. Right of withdrawal

In accordance with Articles L.221-18 et seq. of the French Consumer Code, a consumer customer (an individual not acting in a professional capacity) has a 14-day period from the subscription date to exercise their right of withdrawal, without having to justify any reason or pay any penalty.

To exercise this right, the customer must notify ASUOO of their decision by email at contact@asuoo.com, stating their name, account email and the service concerned.

If this right is exercised within the allotted period, ASUOO will refund all amounts paid within a maximum of 14 days of receiving the request, using the same payment method used for the original order, unless the customer expressly agrees to a different method.

7. Cancellation

The customer may cancel their subscription at any time from their client area. Cancellation takes effect at the end of the current monthly period. Outside of the 14-day withdrawal period referred to in Article 6, no refund is issued for the current monthly period already in progress.

ASUOO reserves the right to terminate any subscription in the event of a breach of the Terms of Use (illegal content, abuse, non-payment). In such cases, no refund is due.

8. Resale and access sharing

Reselling ASUOO services is authorized. A customer may offer their own customers hosting, VPS or application offerings built on ASUOO services.

The reselling customer remains solely and fully responsible, towards their own customers, for compliance with the regulations applicable to their business (invoicing, VAT where applicable, consumer law, data protection), as well as for their end customers' compliance with these Terms of Sale and ASUOO's Terms of Use. ASUOO has no contractual relationship with the reseller's end customers.

Sharing access to a service (collaborative access, multiple accounts) is done under the sole responsibility of the account holder, who remains solely liable for any use made from their account.

Any breach of the obligations set out in Article 5 of the Terms of Use (illegal content, cryptocurrency mining, spam, infrastructure overload, etc.), including by an end customer of a reseller, may result in the immediate suspension or termination of the affected service, without refund.

9. Service interruption

ASUOO strives to maintain maximum availability of its infrastructure. In the event of a prolonged interruption attributable to ASUOO (exceeding 72 consecutive hours, excluding scheduled maintenance and force majeure), a credit or proportional compensation may be granted at the customer's request.

10. Liability

ASUOO's liability is limited to the amount actually paid by the customer during the 3 months preceding the incident. ASUOO cannot be held liable for data loss, operating losses or indirect damages.

The customer is solely responsible for the content they host and for ensuring their use complies with applicable laws.

11. Applicable law and dispute resolution

These Terms of Sale are governed by French law. In the event of a dispute, an amicable solution will be sought first. Failing that, the dispute will be submitted to the courts having jurisdiction over ASUOO's registered office.

In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, individual customers may also use consumer mediation via the European online dispute resolution platform: ec.europa.eu/consumers/odr.
